Terms of Service

The terms on which we provide admissions guidance, consulting and mentorship. Please read them, especially sections 6 and 7.

    1. Acceptance of these terms

    These Terms of Service (“Terms”) are a legally binding agreement between you and Examrat Learning Private Limited. They govern your use of examrat.com and all services we provide, whether online, over WhatsApp or phone, or in person.

    By using our website, submitting an enquiry, speaking with our team about our services, or paying us for a service, you agree to these Terms. If you do not agree, please do not use our services.

    These Terms constitute an electronic record under the Information Technology Act, 2000 and do not require a physical signature.

    2. Who we are

    Examrat Learning Private Limited, a company incorporated in India, registered office and office at No. 677, 1st Floor, Suite No. 392, 27th Main, 13th Cross Road, HSR Layout, Sector 1, Bengaluru, Karnataka 560102. CIN: U80301KA2021PTC152082.

    3. Eligibility and minors

    You may enter into a contract with us only if you are competent to contract under the Indian Contract Act, 1872, which means you must be at least 18 years old and of sound mind.

    If you are under 18, you may use our services only through, and under the supervision of, your parent or legal guardian, who accepts these Terms on your behalf and is responsible for all obligations under them, including payment.

    We will ask you to declare your age when you first visit our website and again when you create an account, submit a form or first speak with our team. If you are under 18, or do not declare your age, we will verify your parent or guardian’s consent in the manner described in section 6 of our Privacy Policy before providing any service. We do not require your or your guardian’s Aadhaar number for this. Declaring a false age, or impersonating a parent or guardian, is a breach of these Terms.

    4. Our services

    Depending on what you sign up for, we may provide:

    • Free guidance: information, content and initial counselling about exams, courses, colleges and admission routes.
    • Admissions consulting: paid, personalised assistance in shortlisting colleges, understanding admission routes including management and NRI quota where lawful, preparing and submitting applications, and coordinating with institutions or our partners.
    • Mentorship: paid sessions with mentors, typically current or recent students, for guidance, study planning and support.
    • Resources: articles, guides, comparisons and downloadable material.

     

    The exact scope, duration, deliverables and fees for a paid service will be agreed with you in writing (by email, WhatsApp, invoice or a separate service agreement) before we begin. Where there is a conflict, that written scope prevails over these Terms for that engagement.

    5. What we do not do

    To be completely clear, Examrat is an independent guidance and consulting company. We are not:

    • a college, university, coaching institute or educational institution;
    • affiliated with, endorsed by, or an agent of any examination authority, including the National Testing Agency (NTA), Karnataka Examinations Authority (KEA), COMEDK, or any regulatory body such as AICTE, NMC, UGC or BCI;
    • able to influence, alter or expedite any merit list, counselling process, seat matrix, cut-off or government allotment;
    • a provider of legal, financial, tax, immigration or medical advice.

     

    All references to exams, colleges, cut-offs, fees and seat availability are for information only, are based on publicly available or reported data, and can change without notice. You must verify all such information with the official source before making a decision. 

    6. No guarantee of admission

    We do not and cannot guarantee any admission, seat, branch, college, scholarship, rank, score or outcome. Admissions depend on your eligibility and performance, seat availability, institutional decisions, counselling processes, government policy and other factors entirely outside our control.

    Our fees are for our guidance, effort and services, not for a result. Anyone who promises you a “guaranteed seat” in exchange for money, whether or not they claim to represent us, is not acting on our behalf, and we would like you to report them to us.

    Any timelines, likelihoods or estimates we share are honest opinions based on experience and available data. They are not promises.

    7. No capitation fees or unlawful payments

    We do not accept, demand, facilitate or encourage the payment of any capitation fee, donation or other consideration prohibited by law, including under the Karnataka Educational Institutions (Prohibition of Capitation Fee) Act, 1984 and equivalent legislation in other states. Any fees payable to an institution must be paid directly to that institution, against a proper official receipt, in the institution’s own bank account. Never pay institutional fees in cash to us, to a partner, or to any individual. We are not responsible for any amount you pay to any person or entity outside the payment channels we have officially communicated to you in writing. If anyone asks you to do otherwise in our name, stop and contact us immediately at sm@examrat.com.

    8. Consultant partners

    Examrat operates a network of independent, vetted admissions consultants who may be designated “Official Examrat Partners” for a particular region, course or institution. With your consent, we may connect you with a partner who will assist with your admission. Partners are independent contractors, not our employees, agents or representatives. While we vet them and require them to follow our standards and applicable law, we do not control their day-to-day conduct. Any service agreement or payment arrangement between you and a partner is between you and them. We are not liable for the acts, omissions, representations or defaults of any partner. That said, we care about this: if a partner treats you badly or acts dishonestly, tell us, and we will investigate and may remove them from our network.

    9. Fees, payments and taxes

    • Fees for paid services will be communicated to you in writing before you commit, and are payable in Indian Rupees.
    • All fees are exclusive of applicable taxes, including GST, which will be charged at the prevailing rate.
    • Payments must be made only through the official channels we notify to you, and we will issue an invoice or receipt for every payment.
    • Where a service is milestone-based or success-fee-based, the trigger for payment will be defined in writing before the engagement begins.
    • You are responsible for any bank, gateway or transaction charges unless we state otherwise.

    10. Refunds and cancellation

    Placeholder – decide your policy and state it precisely here. A clear, fair refund policy is required for consumer-facing services in India and materially reduces disputes. Below is a suggested structure for your lawyer to finalise.
    • Cooling-off: you may cancel a paid service within 7 days of payment, provided we have not yet begun substantive work, for a full refund less any transaction charges.
    • Non-refundable: fees already paid by us to third parties on your behalf, and any application or institutional fees, are non-refundable.
    • No refund for outcome: since we do not guarantee admission (section 6), a refund is not available merely because an admission did not materialise, provided we have delivered the agreed services.
    • Mentorship: sessions cancelled with at least 24 hours’ notice may be rescheduled at no cost. Sessions missed without notice may be treated as delivered.
    • Approved refunds will be processed within 7–14 working days to the original payment method.

    Nothing in this section limits your rights under the Consumer Protection Act, 2019.

    11. Mentorship services

    Mentors are typically current or recent students engaged by us. They provide guidance, encouragement and study support based on their own experience. Mentorship is not tutoring, coaching, psychological counselling, therapy or medical advice.

    If you are experiencing significant distress, please speak to a qualified mental health professional, a trusted adult, or a helpline. Our mentors are not trained for that, and we will always encourage you to seek proper help.

    We may replace a mentor where necessary. Sessions may be recorded only with prior notice and consent.

    12. Your responsibilities

    • Declare your age truthfully and, if you are under 18, involve your parent or guardian as required by section 3.
    • Give us accurate, complete and up-to-date information. Our guidance is only as good as the information you give us, and false information may lead to a wrong recommendation or a rejected application.
    • Verify all official information, including eligibility, deadlines, fees and documents, with the institution or authority concerned.
    • Make your own final decisions about where to apply and what to accept. You, and your parent or guardian, are responsible for that choice.
    • Pay institutional fees only to the institution, against official receipts.
    • Keep your own copies of all documents, receipts and correspondence.

    13. Prohibited conduct

    You agree not to:

    • use our services for any unlawful purpose, or to facilitate any unlawful payment or admission;
    • submit forged, fabricated or misleading documents or information;
    • impersonate any person, or misrepresent your affiliation with any person or entity;
    • copy, scrape, republish or commercially exploit our content or data without our written permission;
    • interfere with, probe or attempt to gain unauthorised access to our systems;
    • harass, abuse or threaten our team, our mentors, our partners or other users;
    • post or transmit anything unlawful, defamatory, obscene, or infringing another’s rights.

    14. Content and intellectual property

    All content on our website and in our materials, including text, guides, comparisons, graphics, illustrations, our mascot, logos, the name “Examrat”, our tagline, and the design of the site, is owned by or licensed to Examrat Learning Private Limited and is protected under the Copyright Act, 1957 and the Trade Marks Act, 1999.

    You may view and download our free resources for your own personal, non-commercial use. You may not reproduce, distribute, modify, resell or create derivative works from our content without our prior written permission.

    15. Content you submit

    If you send us testimonials, reviews, questions, photographs or other content, you confirm that it is yours to share and does not infringe anyone’s rights, and you grant us a non-exclusive, royalty-free, worldwide licence to use it in connection with our services and marketing. We will ask you separately before using your name, photograph or admission story publicly, and you may withdraw that permission at any time.

    16. Third-party sites and information

    Our site links to third-party websites and cites third-party data, including from official authorities, colleges, and public discussions. We provide these for convenience and information. We do not endorse them, do not control them, and are not responsible for their content, accuracy or availability.

    17. Privacy

    Our handling of your personal data is governed by our Privacy Policy, which forms part of these Terms. Please read it, particularly the sections on how we ask for consent, on students under 18, and on sharing data with our consultant partners. We ask for your consent through a separate consent notice, and you can review or withdraw your consent at any time through the “Manage consent” link on our website. 

    18. Disclaimer of warranties

    Our services and content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including as to accuracy, completeness, fitness for a particular purpose, and uninterrupted or error-free operation.

    Information about exams, seats, cut-offs and fees changes frequently and may become outdated. We make reasonable efforts to keep it accurate but do not warrant that it is.

    19. Limitation of liability

    To the maximum extent permitted by applicable law:

    • we are not liable for any indirect, incidental, special, punitive or consequential loss, including loss of an academic year, loss of a seat, loss of opportunity, or loss of profits or reputation;
    • our total aggregate liability to you for all claims arising out of or in connection with our services shall not exceed the total fees actually paid by you to Examrat in the 14 days preceding the event giving rise to the claim;
    • we are not liable for the acts or omissions of institutions, examination authorities, consultant partners, mentors or payment gateways.

    Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Indian law, including for fraud or for death or personal injury caused by negligence.

    20. Indemnity

    You agree to indemnify and hold harmless Examrat, its directors, employees and mentors from any claim, loss, liability or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, or any false or misleading information you provide.

    21. Suspension and termination

    We may suspend or terminate your access to our services, with or without notice, if you breach these Terms, provide false information, behave abusively, or ask us to do something unlawful. You may stop using our services at any time; termination does not affect fees already due for services delivered, or any rights and obligations that by their nature survive.

    22. Force majeure

    We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, strikes, changes in law or government policy, failures of telecommunications or internet infrastructure, or changes to examination or counselling schedules by any authority.

    23. Governing law and disputes

    These Terms are governed by and construed in accordance with the laws of India.

    Let’s talk first. If a dispute arises, please raise it with our Grievance Officer (section 24). We will genuinely try to resolve it within 30 days.

    If it cannot be resolved, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru, Karnataka, and the language shall be English. Subject to the above, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction.

    Nothing here prevents a consumer from approaching the appropriate consumer forum under the Consumer Protection Act, 2019.

    25. Changes to these terms

    We may update these Terms from time to time. The updated version will be posted here with a new “last updated” date and takes effect when posted. If you continue to use our services after that, you accept the updated Terms. For a material change affecting an ongoing paid engagement, we will notify you directly.

    26. General

    • Entire agreement: these Terms, together with the Privacy Policy and any written scope for a paid service, form the entire agreement between us.
    • Severability: if any provision is held invalid, the rest remain in force.
    • No waiver: our failure to enforce a right is not a waiver of it.
    • Assignment: you may not assign your rights without our consent; we may assign ours as part of a corporate reorganisation.
    • Relationship: nothing here creates a partnership, joint venture, employment or agency relationship between us.
